PUBLIC LISTING on ASX
The ASX (Australian Stock Exchange) is a leading global exchange, rated at the top 10 exchanges globally, and normally in the top 3 in Asia Pacific. It is a dynamic exchange with over 2,000 companies, which over 10% are valued more than $1B AUD. At the same time, it is accustomed to early stage and risk companies. Foreign companies listed on the ASX are common from NZ, USA, Israel, China and others.
While your company may have raised private investments previously, possibly more than once, you only become Public Company one time! Understanding the players, formalities, and different interests is essential to successful outcome, and post raising operation.
For public listing (IPO), we aim to work with companies already generating revenue with a proven commercial model, to ensure you have the best possible experience and outcome. There are many moving parts in the journey to raise capital, and our purpose is to work with you through every stage.
We first review the company capital raising need, and whether it fits and recommended for public listing. We then prepare the right investors deck suitable for the Australian investment community, as well as the advisable approach to the raising (IPO, Pre IPO, strategic investor).
The next stage involves management of a road show to meet multiple brokers, advisors, investors and the ASX, and truly determine the appetite and interest with the company. This critical effort is a key component for choosing your true partner, and theme of the raise. Following successful engagement we will work through a detailed process for listing. (read more below)

Broker and Corporate Advisor
Raising capital through public listing on the ASX would require a Broker/Lead Manager, and in most cases a Corporate Advisor, whether independent, or part of the broker. The decision of who to choose is probably the most important one a company would take in the process. Public listing involves many decisions, adaptations and challenges. Your partners to this journey is a critical decision. Different brokers have different expertise, Industry related experience, sums they are normally raising, experience working with foreign companies, and even personalities.
Should not you consider few possible options when you decide who to engage when publicly listing your company? most companies have little experience in this process, especially in foreign jurisdiction. Making the right choices are crucial.
At Komodo we are constantly exploring and connecting with the financial industry in Australia. We learn and discuss "sweet spots" for different brokers, their interest level, their research capability, and post IPO support. We know their experience in raising Pre-IPO, or their interest in special areas like Healthcare companies. Our expertise is to work with you in analyzing your needs, and then present you to different potential brokers. We then help during the negotiation process to sign a broker, and support you through the listing process.

THE PROCESS
The Process for listing a company on the ASX, and especially foreign company, is more of a Journey rather than Scientific Process. We, as team, need to be ready in advance, to tackle different challenges, and deal with them effectively. We need to be prepared, as every plan is only the basis for changes. Even so, there are major milestones and efforts we will go through.

1. We learn your capital raising needs and business strategy. We then advise whether the plan is a good fit to Australia, estimated costs, timeline and fees. We promise to give a genuine advise, even if that means no business for us.
2. Preparing a strategy for the raising (Pre IPO/IPO) and completing an Investor Deck, in the preferred format for Australian financials players. Then we "Test the water" with few friends, and interest in the opportunity. 3. Preparing the company to a 10 days road show in Australia, and conducting the road show in few cities (Sydney/Melbourne/Perth/Brisbane) meeting 25-30 brokers, Corporate Advisors and financial investors presenting the company. We then negotiate engagement with Broker and/or Corporate Advisor, and signing Mandate. 4. Working with the company through the whole period of preparing the prospectus, Marketing strategy to Investors and assisting in getting investors interested. Managing and recommending on formalities, lawyers, auditors, accountants, Board members, IR and PR. We advise you on identity of investors, the right "spread" of investors, and post listing implications. We will be with you all the way to successful listing and capital raising (normally a process of 4-6 months). 5. Post Listing management of investors, PR, research and coverage for the stock and company activity. |
